Toric Consumption Unit Table

Effective January 3rd, 2024

These Service Consumption Terms are effective as of January 3rd, 2024 (the "Effective Date") and apply to all customers on Toric’s consumption based pricing model and Toric’s Free Plan. Any capitalized terms not defined herein will have the meanings given to them in the Master Service Agreement

Toric Products provide automated cloud data pipelines (“Connectors”) to its customers (each a “Customer”, “you”, “your”) as a service which transports data from various sources and centralizes this data into a specific destination. Toric Products are available in several different plans and hosted in different geographical regions by certain third-party cloud providers.

Definitions

  • Account: The Customer’s account on Toric. An Account may have multiple Connectors and Destinations. A customer may have multiple Accounts.
  • Overages: For Annual Purchases (defined below) only, this means any additional usage after the initial purchase has been used, but before the end of the original term. The Overages period ensures you can continue using Toric Products, even if the original Contracted Spend has already been consumed. 
  • Billing Period: A calendar month running from the first to the last day of the month.
  • Annual Purchase: A subscription-based plan which requires an annual upfront purchase of Contracted Spend in bulk.
  • Contracted Spend: The total dollar amount purchased as listed in the Order Form. Contracted Spend is shown on an annual basis.
  • Destination: A destination is a data warehouse, database, data lake, or data lake house where the data is delivered.
  • Free Plan: a Plan that grants Customer free access to Toric Product features. Usage on this Plan is restricted to no more than 2 weeks of usage and 50 TCUs consumed, whichever occurs first. Full Free Plan details can be found at www.toric.com/pricing.
  • Incremental Spend: The price charged for the next TCU (or portion of the next TCU) consumed after surpassing the TCU Threshold for the month in question.
  • Initial Sync: The first time that a connector completes a historical sync.
  • Monthly Purchase: A plan, which is not subscription based, whereby a Customer is billed monthly in-arrears for their usage during the prior Billing Period. Monthly plans are available to purchase within the Toric product.
  • Consumable Tasks: Any service or task in which TCU’s are consumed. All Consumable Tasks are calculated on a per-Account basis. Monthly Spend: The dollar amount consumed each Billing Period from your Contracted Spend based on your actual monthly usage.
  • Annual Spend: Total Monthly Spend is the sum of Monthly Spend on Connectors and any other applicable uses of the Toric platform and Toric Products during your annual term.
  • Order Form: An ordering document or online order entered into between Customer and Toric, or online order  process completed by Customer and confirmed by Toric, including any applicable terms, in each case specifying the Toric Product(s) to be provided under your Agreement.
  • Plan: A bundle of features included as a part of the Toric Product. Plans may be Annual Purchase (subscription-based), Monthly Purchase plans (do not require annual subscriptions), or the Free Plan.
  • Primary Key: A unique identifier that specifies a distinct row within a table.

Consumable Tasks:
Consumable Tasks are operations in which Customers will be charged TCUs or portions of TCUs for performing. To calculate Consumable Tasks, usage data is sent to Toric. They can be broken down as:

  • Standard Ingest (SI): The number of distinct Primary Keys synced via Toric from the list of Standard Application Connectors. 
  • Premium Ingest (SI): The number of distinct Primary Keys synced via Toric from the list of Premium Application Connectors. 
  • Database Ingest (DI): The number of distinct Primary Keys synced via Toric from the list of Database Connectors.
  • External Database Write (EDW): The number of distinct Primary Keys written to a Database, Data Warehouse or Data Lake or equivalent Customer-owned Data Storage Product.
  • Application Sync (AS): The number of distinct Primary Keys written to a Software application. 
  • Toric Managed Storage (TMS): The number of Gigabytes stored within Toric’s Datalake or Toric Managed Warehouse.
  • AI Tokens (AIT): The number of distinct Tokens used to complete AI prompts.

Toric Consumption Units on the Free Plan

The Free Plan grants Customers free access to the Toric Product features available on the Standard Plan. Usage on the Free Plan is restricted to 50 TCU or 15 days, whichever limit is met first. TCUs on the Free Plan are calculated the same way as every other Toric Plan. Once a Customer reaches 50 TCUs or 15 days of account creation, you will no longer be eligible to be a Free Plan Customer, but you will have the opportunity to upgrade to a paid Plan. 

Toric Consumption Units on paid Plans

The Monthly Spend on Toric services is calculated using the number of Consumable Tasks  within each Account during that Billing Period. Monthly Spend is consumed based on a diminishing slope: in other words, the Consumable Tasks performed during a Billing Period, the cheaper the incremental cost per TCU. 

Your usage pricing depends on the Plan you have selected and whether you are drawing down from an Annual Purchase Plan or paying for supplemental usage. For Monthly Purchase Plans, your usage pricing is based on the prices available on our website, www.toric.com/pricing.

Toric Consumption Unit Table

Customer’s use of the Toric’s Products is governed by Torics’s Consumption Unit Table, subject to the terms of your specific Order Form. In the event you have multiple Accounts under one plan, you may apply your Contracted Spend toward any of your Accounts on the Toric Product(s).

Depletion of Contracted Spend

For Annual Purchase Customers: When the Contracted Spend on your Annual Purchase is depleted but Toric Products are still being used, you are in Overages. However, you will be allowed to continue using Toric Products for so long as you are fulfilling payment obligations and complying with the other terms of your Agreement. For the first full Billing Period where you are in Arrears, Toric will charge you for your usage according to the terms of your Order Form, until you purchase additional spend through a new Order Form.

When Contracted Spend is depleted, Toric will prompt you and provide the option to purchase additional spend/usage through Toric. Likewise, Toric will alert you when you are in Overages.

Contracted Spend Rollover

Customers who do not use their full Contracted Spend during the term of an Order Form, forfeit any unconsumed TCUs. If you have a Annual Purchase that is coming to an end, contact your account representative to arrange for a new purchase on an updated Order Form.‍

Multiple Accounts

If you decide to open multiple Accounts, the Toric Consumption Unit Table will apply to each Account. You cannot combine TCU’s across multiple Accounts. However, if you would like to merge multiple Accounts into a single Account with separate destinations, you can reach out to Support through your dashboard or your Account representative to get help with this migration.

Changes to the Toric Consumption Unit Table

Toric may update this Consumption Unit Table from time to time. If we do make updates, we will update the “effective date” at the top of the Toric Consumption Unit Table. If we make a material update, we will use reasonable best efforts to alert you through the Toric Service dashboard or via email prior to the update taking effect. Any updates will become effective for Customer immediately.
